TribeBuilder Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Brown Technologies Inc ("we", "us", "our", or "the company") governing your use of the TribeBuilder mobile application ("the app"). By downloading, installing, or using TribeBuilder, you agree to these Terms. If you do not agree, do not use the app.

1. Description of Service

TribeBuilder is a social media management tool designed for music artists. The app helps you create AI-generated content, manage social media accounts, schedule posts, and publish content to connected platforms including Instagram, TikTok, X (Twitter), YouTube, Facebook, Bluesky, Threads, and Discord.

2. Eligibility

You must be at least 13 years of age to use TribeBuilder. If you are under 18, you must have permission from a parent or legal guardian. By using the app, you represent that you meet these requirements.

3. Your Account and Credentials

You are responsible for maintaining the security of your social media accounts and API keys.
You are responsible for all content published through TribeBuilder to your social media accounts.
You must provide valid credentials for any third-party services you connect.
We are not responsible for issues caused by invalid, expired, or revoked credentials.
You agree not to use TribeBuilder to access accounts you do not own or have authorization to manage.

4. Content and Publishing

You retain ownership of all content you create using TribeBuilder.
You are solely responsible for the content you publish through the app, including compliance with each platform's community guidelines and terms of service.
AI-generated content (text and images) is produced by third-party AI providers. You are responsible for reviewing AI-generated content before publishing.
You agree not to use TribeBuilder to publish content that is illegal, harmful, defamatory, obscene, or that violates any third party's rights.
Content published to social media platforms is subject to those platforms' terms of service and content policies.

5. Third-Party Services

TribeBuilder integrates with third-party services including social media platforms and AI providers. Your use of these services through TribeBuilder is also subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

6. API Keys and Costs (Bring Your Own Key)

TribeBuilder uses a "bring your own key" (BYOK) model for all third-party services. This means:

You must provide your own API keys and developer credentials for AI services and social media platforms.
You are responsible for any costs incurred through your use of third-party APIs, including AI generation costs and platform API fees.
API keys and OAuth credentials are stored locally on your device in the iOS Keychain and are never transmitted to Brown Technologies Inc servers.
You are responsible for monitoring your own API usage and billing with each provider.
Brown Technologies Inc is not liable for any charges incurred through your use of third-party APIs.

7. AI-Generated Content

When you use TribeBuilder's AI content generation features:

Your persona data and prompts are sent directly from your device to the AI provider you selected, using the API key you provided.
You acknowledge and consent to this data being shared with the third-party AI provider of your choice each time you initiate a content generation action.
You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing.
Brown Technologies Inc makes no representations or warranties regarding the accuracy, appropriateness, or legality of AI-generated content.
You assume full responsibility for any consequences arising from the publication of AI-generated content.

8. Acceptable Use

You agree not to:

Use the app to spam, harass, or deceive others.
Attempt to circumvent rate limits, posting restrictions, or other safeguards imposed by social media platforms.
Use the app to violate any applicable law or regulation.
Reverse engineer, decompile, or disassemble the app.
Use the app in any way that could damage, disable, or impair any third-party service.
Use the app to infringe upon the intellectual property rights of any third party.

9. Privacy

Your use of TribeBuilder is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the app, you consent to the practices described in the Privacy Policy.

10. Disclaimer of Warranties

TribeBuilder is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the app will be uninterrupted, error-free, or that published content will be accepted by any social media platform. Social media APIs may change without notice, which may temporarily affect functionality.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Brown Technologies Inc and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the app, including but not limited to: loss of social media accounts, failed publications, AI-generated content issues, API costs, data loss, or loss of revenue or profits.

In no event shall Brown Technologies Inc's total liability to you exceed the amount you paid for the app in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Brown Technologies Inc and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from: (a) your use of the app; (b) content you publish through the app; (c) your violation of these Terms; or (d) your violation of any third party's rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Virginia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Virginia.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the app after changes are posted constitutes acceptance of the updated Terms.

15. Termination

You may stop using TribeBuilder at any time by uninstalling the app. We reserve the right to suspend or terminate access to the app for violation of these Terms.

16. Apple App Store Terms

The following additional terms apply to the extent you downloaded TribeBuilder from the Apple App Store:

Acknowledgment: You and Brown Technologies Inc acknowledge that these Terms are concluded between you and Brown Technologies Inc only, and not with Apple Inc. ("Apple"). Brown Technologies Inc, not Apple, is solely responsible for TribeBuilder and the content thereof.
Scope of license: The license granted to you for TribeBuilder is limited to a non-transferable license to use TribeBuilder on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms of Service.
Maintenance and support: Brown Technologies Inc is solely responsible for providing any maintenance and support services with respect to TribeBuilder. You and Brown Technologies Inc acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to TribeBuilder.
Warranty: Brown Technologies Inc is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of TribeBuilder to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for TribeBuilder to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to TribeBuilder.
Product claims: You and Brown Technologies Inc acknowledge that Brown Technologies Inc, not Apple, is responsible for addressing any claims you or any third party may have relating to TribeBuilder or your possession and/or use of TribeBuilder, including but not limited to: (a) product liability claims; (b) any claim that TribeBuilder fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
Intellectual property: You and Brown Technologies Inc acknowledge that, in the event of any third-party claim that TribeBuilder or your possession and use of TribeBuilder infringes that third party's intellectual property rights, Brown Technologies Inc, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
Legal compliance: You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
Third-party beneficiary: You and Brown Technologies Inc acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
